Welcome to ClarivoIQ. These Terms of Service ("Terms") govern your access to and use of the ClarivoIQ platform, website, and related services (collectively, the "Service"). The Service is operated by ClarivoIQ ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.


1. Nature of the Service and Medical Disclaimer

1.1 Educational Purpose Only

ClarivoIQ is an AI-powered nursing education and workforce capability platform designed for training, assessment, and professional development. It provides simulated scenarios, AI-generated debriefs, and educational insights.

1.2 No Medical Advice

The Service is strictly for educational purposes and is not a substitute for professional medical advice, diagnosis, treatment, or clinical judgement. You must not rely on any information, scenarios, or AI-generated outputs provided by the Service for actual patient care or clinical decision-making.

1.3 Professional Responsibility

Users are responsible for exercising their own independent professional clinical judgement. We disclaim all liability for any clinical decisions made or actions taken based on the use of the Service.


2. Australian Consumer Law

2.1 Statutory Guarantees

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL), which is Schedule 2 of the Competition and Consumer Act 2010 (Cth).

2.2 Limitations Subject to ACL

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the ACL which cannot lawfully be excluded or limited. If a guarantee under the ACL applies, our liability for a failure to comply with that guarantee is limited, to the extent permitted by law, to the resupply of the services or the payment of the cost of having the services supplied again.


3. Privacy and Data Handling

3.1 Privacy Policy

Your privacy is important to us. We collect, use, and disclose your personal information in accordance with our Privacy Policy, which is drafted in compliance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

3.2 Healthcare Data

You agree not to upload, input, or share any real patient data, Personally Identifiable Information (PII), or Protected Health Information (PHI) into the Service. Scenarios and AI interactions must use anonymized, fictitious data only.


4. User Accounts and Security

4.1 Registration

You must provide accurate and complete information when creating an account (whether a personal or organisational account). You are responsible for maintaining the confidentiality of your login credentials.

4.2 Unauthorised Access

You must notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.


5. Intellectual Property

5.1 Our Ownership

All intellectual property rights in the Service, including the underlying software, algorithms, AI prompts, and original content, are owned by us or our licensors.

5.2 Your Content

You retain ownership of any content you upload or input into the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process that content solely for the purpose of providing and improving the Service.

7.1 Disclaimer of Warranties

Subject to the ACL (Section 2), the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service will immediately cease.


9. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts located in New South Wales for the resolution of any disputes.


10. Changes to these Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Service or via email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
